Overview
This course takes a commercial approach to the law governing directors duties, liabilities and reliefs from liability with particular detailed reference to the Companies Act 2006, the Small Business, Enterprise and Employment Act 2015 and the Insolvency Act 1986 (corporate aspects).
It provides a practical, thorough examination of the responsibilities and liabilities of a director of a UK private company under the Companies Act 2006 and other relevant statutes. The course also covers the various reliefs from liability available to directors.
Updates to Companies House procedures and relevant company law provisions due to be implemented under the Economic Crime and Corporate Transparency Act 2023 (“ECCTA 2023”) will be covered as/when they come in to force.
Who should attend
This course is of particular interest to newly appointed private company directors, and their advisers, wanting a useful refresher. It will reflect changes implemented by ECCTA 2023 where relevant.

- the different types of directors under the Companies Act 2006 (including executive, non - executive, de facto, shadow) and their respective duties and liabilities
- the process of appointment and termination including changes made by ECCTA 2023
- assessing directors’ reliefs from liability
- directors’ duties under other statutes including those relating to bribery, health and safety, environment
- the process for effective board meetings and informal directors’ decision making
- directors’ personal liability for wrongful and fraudulent trading under the Insolvency Act 1986
- directors’ conflicts and interests in proposed transactions with the company
- risks under the Company Directors Disqualification Act 1986
- practical action points for newly appointed directors
Practical illustrations are used throughout to give you the confidence to thoroughly assess and understand the responsibilities and the liabilities of the role of director in a UK private limited company.
