Overview
Building on the knowledge acquired in the introductory course, this session will consider some of the more complicated issues that may be encountered when drafting and reviewing contracts. In each topic area, the presenter will outline the key considerations and delegates will then be asked to apply these via a series of practical exercises. Emphasis will be placed throughout on both legal and commercial considerations.
Who should attend
This session is aimed at non-legal delegates who have either already attended the introductory course Understanding Contracts - An Overview for Non-Lawyers or have considerable experience of dealing with contracts as part of their roles.
What you will learn
At the end of the course delegates will be better equipped to deal with the issues discussed with greater confidence and will be able to:
- Review and revise a non-disclosure agreement
- Understand the usage of electronic signatures
- Comprehend and analyse good faith provisions
- Distinguish between ‘liquidated damages’ and ‘penalty’ clauses
- Review and revise exclusion and limitation clauses
- Understand the importance of complying strictly with the provisions of notice clauses
- Analyse the content of force majeure clauses
